Please read these Terms of Service ("Terms") carefully before using SemPDF ("Service", "we", "us", "our") at sempdf.com. By accessing or using the Service, you agree to be bound by these Terms.

1. Service Description

SemPDF provides online tools for PDF and image file conversion, editing, merging, splitting, and AI-powered document analysis. We offer a free tier with daily limits and paid Pro and API plans with extended capabilities.

2. Account Registration

Some features require an account. You agree to provide accurate information, maintain the security of your password, and accept responsibility for all activity under your account. You must be at least 13 years old to create an account.

3. Acceptable Use

You agree not to:

  • Upload files containing malware, viruses, or malicious code
  • Use the Service for any illegal purpose or to violate any laws
  • Attempt to bypass usage limits, rate limits, or access controls
  • Reverse engineer, decompile, or disassemble the Service
  • Resell, redistribute, or sublicense the Service without permission
  • Impersonate another person or entity
  • Overload our infrastructure with automated requests beyond your plan limits

4. Free & Pro Plans

4.1 Free Plan

The free plan includes generous daily limits, 10 MB file size limit, and access to all tools. No credit card required.

4.2 Pro Plan

The Pro plan ($3.99/month or $34.99/year) provides unlimited conversions, 100 MB file size limit, batch processing up to 50 files, and priority support. Subscriptions are managed through Stripe and can be cancelled anytime.

5. Developer API

5.1 API Access

API access requires a paid API plan (Starter, Growth, or Business). Each plan includes a monthly credit allocation. Credits reset on your billing date each month.

5.2 API Keys

You are responsible for keeping your API keys secure. Do not share keys publicly or embed them in client-side code. Compromised keys should be revoked immediately via your dashboard.

5.3 Rate Limits

API requests are subject to rate limits based on your plan. Exceeding limits will result in 429 responses. Repeated abuse may result in key revocation.

6. Payments & Cancellation

All payments are processed securely by our payment provider. By subscribing, you authorize recurring charges at the interval you selected.

  • Cancellation: You may cancel your subscription at any time from your dashboard. Access continues until the end of the current billing period.
  • No refunds: Since our services are consumed instantly upon use, we do not offer refunds for any paid plans, used credits, or partial billing periods.
  • API credits: Unused API credits expire at the end of each billing cycle and do not carry over or qualify for refunds.
  • Downgrades: If you downgrade from Pro to Free, you retain Pro access until the end of your current billing period.
Note: By subscribing, you acknowledge that services are delivered immediately and you waive any right to a cooling-off period refund under applicable consumer protection laws.

7. Intellectual Property

Your content: You retain all rights to the files you upload and convert. We do not claim ownership of your content.

Our service: SemPDF, its logo, design, and code are our intellectual property. You may not copy, modify, or distribute our service without written permission.

8. Limitation of Liability

To the maximum extent permitted by law, SemPDF shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of the Service. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

9. Service Availability

We strive for 99.9% uptime but do not guarantee uninterrupted service. We may perform maintenance, updates, or experience outages. We are not liable for any loss resulting from service unavailability.

10. Termination

We may suspend or terminate your account if you violate these Terms. You may delete your account at any time. Upon termination, your data will be deleted in accordance with our Privacy Policy. Active subscriptions will not be refunded for the current billing period.

11. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or a notice on the Service. Continued use after changes constitutes acceptance of the updated Terms.

12. Governing Law

These Terms shall be governed by the laws of the jurisdiction in which SemPDF operates, without regard to conflict of law principles.
